Stage 0 of the Dubai business setup path: what you are actually deciding, and the order the decisions have to come in

Before anything gets registered, you make one decision: whether you need a company at all. Most people who search for how to open a company in Dubai are really asking how to invoice clients legally, and those have different answers. If you are one person selling your own skill, with no employees and no stock, a freelance permit usually does the job for less money and less administration.

This stage exists because the single most expensive mistake in UAE setup is sequencing. People choose a jurisdiction first, then discover their activity does not fit it.

What You Decide Here

Two things. Whether a company is the right vehicle at all, and whether you understand the order of everything that follows.

The order matters because each decision constrains the next. Your activity determines which license types are open to you. The license type constrains the legal forms available. The legal form and your customer base together decide mainland or free zone. Registration happens only after all of that is settled.

Slot At this stage
You decide Company or freelance permit, and whether you are ready to start the sequence
You need An honest view of whether you will hire, hold stock, or need a corporate counterparty
Where you go Nowhere yet. No authority is involved in this decision
How long An afternoon of honest thinking, which saves weeks later
What it costs Nothing, and it is the only free decision in the whole process

Company or Permit: the Tax Difference Nobody Explains

The choice is usually framed as a cost comparison. The more important difference is tax treatment, and it is substantial.

A freelancer is a natural person. The Federal Tax Authority is explicit that a natural person’s business activities are only subject to corporate tax once total turnover exceeds AED 1 million in a Gregorian calendar year, and registration is only required at that same point. Wage income and personal investment income are excluded from that turnover test.

A company is a taxable person from day one, regardless of size.

For a small services business that difference matters more than the license fee. Take the company anyway if you need to employ people, trade goods, take investment, or contract with clients who will not deal with an individual.

The Order Everything Comes In

Stage The decision
You are here Company or permit
Next Your activity and license type
Then Mainland or free zone
Then Legal form and ownership
Then Registration and license
Then Visas and immigration
Then Operating legally
Finally Renewals and exit

What Usually Goes Wrong at This Stage

People skip it. They arrive with a jurisdiction already chosen, usually because a setup agent quoted a package price, and work backwards from there. That is how a consultant ends up on a general trading license, or how an expat budgets for an eTrader license they are not eligible to hold.

The second failure is incorporating for prestige. A company sounds more serious than a permit, so people take one, then pay annual renewals on an entity that never needed to exist.

Frequently Asked Questions

Do I really need to decide the activity before the jurisdiction?

Yes. The UAE government portal states that identifying the business activity is the basis for selecting the legal form and the type of license, and the legal form must match the activity. Jurisdictions differ in which activities they can license at all, so choosing one first can eliminate options you needed.

Can I start with a freelance permit and move to a company later?

Yes, and it is a common path. A permit covers you alone, so the trigger for moving is usually the first hire. Moving means a fresh company setup rather than an upgrade, so factor that in if you expect to hire within the first year.

Is a freelance permit the same as a residence visa?

No. A permit is work authorization and a visa is your right to live here. They are separate instruments, which is why someone already sponsored by a spouse or employer may need only the permit.

How much of this can I do myself?

More than setup agents suggest. The decisions on this path are yours, and most of the filing is online. Professional help earns its fee on attestation chains, regulated activities, and anything involving a foreign parent company.
