Amendments Are Registered Events

Changing your company is not an internal decision. Adding or removing an activity, changing the trade name, transferring shares, adding a partner, changing the manager, or moving premises are all registered amendments with fees and paperwork, and several of them ripple outward into your establishment card, your visa quota, and your tax position.

Closing Down: Abandonment Does Not Work

The instinct when a business stops is to stop paying and let the license lapse. That does not end the company, and it does not end the liability of those behind it. A proper closure means appointing a liquidator, publishing notice to creditors, settling debts, cancelling visas and the establishment card, deregistering for tax, and obtaining clearances before the entity is struck off.

The Order of Closure

Visas come off before the establishment card. The establishment card comes off before the license. Tax deregistration and final returns run alongside. Doing it out of order means re-opening steps you thought were finished, which is the most common reason a closure that should take weeks takes months.

What happens if I just stop paying and let the license lapse?

The company continues to exist and the obligations continue with it. Fines accrue, and directors, managers and shareholders can remain liable. There are also deregistration and court-ordered liquidation routes that follow an abandoned company, so walking away tends to cost more than closing properly.

Do I need to file a corporate tax return if the company made no profit?

Yes. The filing obligation follows registration, not profitability, and penalties apply to a late return even where the liability is nil. Companies that elect Small Business Relief still file.

Can I renew the license if I have unpaid fines?

Generally no. Renewal is commonly conditioned on a clean record with the authority, so outstanding fines have to be cleared first. This is why fines discovered at renewal time cause delays that block visa processing downstream.
