What a Business Setup Agent Legally Is
Corporate service providers are regulated in the UAE as Designated Non-Financial Businesses and Professions, supervised federally by the Ministry of Economy and Tourism. Under Federal Decree-Law No. 20 of 2018 and Cabinet Decision No. 10 of 2019 they must register on the goAML portal operated by the UAE Financial Intelligence Unit, appoint a money laundering reporting officer, and file suspicious transaction reports.
That status matters for one practical reason. A firm subject to AML supervision has a license and a compliance footprint you can check, and one operating outside it has neither.
What the status does not confer is authority. An agent is not a licensing body, cannot approve an application, and has no standing to guarantee any outcome from DET, a free zone authority, ICP or GDRFA. Every approval in the chain is made by the government entity, not by the intermediary.
The Ministry Enforces This
The Ministry of Economy and Tourism has imposed substantial administrative fines on DNFBPs for AML failures since 2022. An agent that cannot tell you its goAML registration status is either non-compliant or not really a corporate service provider, and both answers are useful to you.
What You Can Genuinely Do Yourself
The direct route is real and it has improved considerably. Whether it fits depends far more on where you are incorporating than on how complicated your business is.
The Federal Route: Basher
Basher is the federal one-stop platform, and it bundles what used to be several separate applications. Setting up through it requires a UAE Pass account, and the platform returns an establishment card number from ICP and a membership number from MOHRE alongside the license itself.
Its limitation is coverage. The platform serves Abu Dhabi, Sharjah, Ajman and Fujairah, with Ras Al Khaimah and Umm Al Quwain flagged as coming, so it is not the route for a Dubai mainland company.
The Dubai Route: Applying to DET Directly
Dubai runs its own channel through the Invest in Dubai platform, where you can reserve a trade name, select activities, generate the memorandum of association electronically and pay, without an intermediary. The Instant License variant is the fastest version, and for qualifying activities it does not require an Ejari or office lease for the first year.
The catch is that instant licensing applies only to activities needing no external approval beyond DET. Anything regulated, which includes most financial, health, education, legal and food activities, drops out of the fast lane and into a multi-authority process.
Free Zones: The Portal Is the Variable
Free zones differ enormously here. Some run self-service portals that accept a direct application from a founder, and others route everything through registered agents in practice even where no rule requires it.
We could not find any published list of which UAE free zones accept only agent-submitted applications, and free zone authorities do not generally state this on their websites. The workable test is to open the zone’s portal and see whether it will accept a founder registration at all, before you conclude you need an intermediary. What an Agent Actually Does For the Money
Stripped of marketing, the work falls into six buckets. Some are genuinely skilled, and some are pure administration you are paying a margin to avoid.
- Activity and structure selection. The most valuable and least visible part. Choosing the right activity codes determines your visa quota, your bank acceptability, your corporate tax position and whether you can invoice the clients you actually have.
- Name reservation and documentation. Trade name compliance, memorandum drafting and notarization, and shareholder documentation. Mechanical but easy to get rejected on, as the trade name reservation rules show.
- Facility packaging. Matching a flexi desk, shared desk or office to the visa quota you need, which is a zone-specific calculation rather than a preference.
- PRO and immigration work. Establishment card, e-channel registration, entry permits, medical fitness appointments, Emirates ID and visa stamping for you and any staff.
- Bank introduction. The single largest source of real value, discussed below.
- Post-setup compliance. Corporate tax registration, bookkeeping, UBO filings and renewal management, usually sold as a separate annual retainer.
Notice that only the first and fifth are hard to replicate. The rest is process knowledge that a determined founder can acquire once and then reuse.
Where Doing It Yourself Reliably Breaks Down
Four situations account for most of the cases where the direct route costs more than it saves.
You Are Outside the UAE
Several steps assume physical presence or a UAE Pass identity that itself assumes residency. A founder applying from abroad with no existing UAE status will hit signature, notarization and biometric requirements that a local representative resolves and a remote applicant cannot.
The Bank Account
Incorporation is the easy half. Opening a corporate account is where applications stall for months, and banks apply their own risk assessment to the activity, the shareholder nationalities, the source of funds and the substance of the business.
Agents with established banking relationships genuinely shorten this, and it is the one deliverable worth paying a premium for. It is also the one most often over-promised, so treat “guaranteed bank account” as a warning rather than a feature and read what opening a UAE business bank account actually requires before you sign.
Regulated Activities
Where an activity needs approval from a second authority, the sequencing becomes the whole job. Getting the order wrong means paying for a license you cannot use, and the approvals rarely run in parallel.
You Picked the Wrong Activity
Activity errors are the most expensive DIY mistake because they surface late. You discover the problem when a bank declines you, when a client’s procurement team rejects your invoice, or when you need to add an activity and find it changes your license category and your renewal price. How to Read a Package Quote
The most useful question you can ask an agent is not “how much” but “how does that split between government fees and your service fee”. A provider that cannot or will not itemize the split is selling you an opaque margin, and the split is the only way to compare two quotes.

Bundling is not dishonest in itself, and a bundled price can be good value. It becomes a problem at renewal, when the components separate and the second-year total lands well above the headline you budgeted against.
Verifying a Provider Before You Pay
Five checks take under an hour and eliminate most of the risk.
- Ask for the trade license. Confirm the company exists, is current, and holds an activity that actually covers company formation or business consultancy.
- Ask about goAML and DNFBP registration. A legitimate corporate service provider is supervised for AML purposes and will answer this without hesitation.
- Require the fee split in writing. Government fees against service fees, with the renewal tariff stated, not just year one.
- Pay the company, not a person. Transfers to an individual’s personal account remove every protection you would otherwise have.
- Confirm who holds the license and the documents. The license should be issued in your name or your company’s from the outset, and you should hold originals rather than the agent.
That last point is the one that turns into a dispute. Founders who let an agent hold the establishment card credentials, the portal logins or the original documents find that leaving becomes a negotiation rather than a decision.
Red Flags
Certain claims are impossible rather than merely optimistic, and any of them should end the conversation.
- Guaranteed approvals. No intermediary can guarantee a license, a visa or a Golden Visa, because none of them issue any of those.
- Guaranteed bank accounts. Banks make independent risk decisions and no agent controls them.
- Pricing that only exists today. Government fees are published and do not expire at midnight.
- Refusal to itemize. If the split between government and service fees is not available in writing, there is a reason.

A Decision Rule
Go direct when you are UAE resident, your activity needs no external approval, you are incorporating in an emirate Basher covers or on the Dubai instant license track, and you can afford a few weeks of learning. The saving is the agent’s service fee, typically the largest discretionary line in the quote.
Use an agent when you are applying from outside the UAE, your activity is regulated, your structure has multiple or corporate shareholders, or the bank account is the real objective rather than the license. In those cases the fee is buying sequencing knowledge that costs more to acquire by trial.
There is also a middle path most founders never consider.
