Stage 2 of the Dubai business setup path: the jurisdiction decision, and the two things that actually settle it
Two questions settle mainland versus free zone, and neither is price. Where are your customers, and which activity do you carry on. A free zone company cannot invoice UAE mainland customers directly. That single restriction decides the jurisdiction for most businesses before cost enters the conversation.
The second question is tax, and it is where most advice is simply wrong. A free zone address does not deliver 0% corporate tax by itself.

Question One: Where Are Your Customers?
If your customers are UAE businesses and consumers, you need mainland access. A free zone license does not grant it. To reach the local market from a free zone you need a mainland distributor, a commercial agent, or your own mainland branch, and goods physically crossing from a free zone into the mainland are treated as an import.
If you sell abroad, or your revenue is location-agnostic, a free zone is usually cheaper, faster, and administratively lighter.
If you sell to both, that is the genuinely awkward case. Most businesses in that position pick mainland and accept the higher cost, because running a free zone entity plus a distributor arrangement usually costs more than the mainland license it was avoiding.
Question Two: Does Your Activity Actually Qualify for 0%?
This is the part sold hardest and understood least. The 0% corporate tax rate applies to Qualifying Income of a Qualifying Free Zone Person, and Qualifying Activities are an exhaustive list set by Ministerial Decision No. 229 of 2025. Any transaction with a natural person is separately an Excluded Activity.

Where the answer is no, the standard rates apply: nil on taxable income up to AED 375,000 and 9% above it. That is the same treatment a mainland company gets, which removes the main financial argument for the free zone in those cases.
Losing Qualifying Free Zone Person status is also not a one-year correction. A person who fails the conditions ceases to qualify for the relevant tax period and the four tax periods that follow.

Which is better for corporate tax?
It depends entirely on your activity, not your address. Manufacturing, logistics, qualifying distribution and fund management reach 0% in a free zone. Consultancy, media and consumer sales do not, and get the same standard rates as a mainland company.
Can I move from free zone to mainland later?
There is a conversion path, but it is a structural change rather than an address update, and it costs more than choosing correctly at the start. If you expect UAE customers within two years, factor that into this decision now.
What is a Designated Zone?
A specific status set by Cabinet Decision, not a synonym for free zone. It matters because distribution can only be a Qualifying Activity if it is conducted in or from a Designated Zone. Confirm your zone’s status in writing rather than assuming it.
